These Terms of Service ("Terms") govern access to and use of Cosmo, an AI-assisted video editing platform (the "Service"), operated by HumanAI Technologies PTE. LTD (UEN 202221894D), a company incorporated in Singapore ("HumanAI Technologies", "Cosmo", "we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms.
Cosmo does not offer public self-registration. Accounts are created and provisioned by HumanAI Technologies or by an administrator within your organization who has been granted access to the Service. You may not create an account for anyone other than yourself, and you may not transfer your account to another person without our prior written consent.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at pratibimb@live.in if you suspect unauthorized use of your account.
The Service is intended for business and professional use. You must be at least 18 years old to be issued an account.
You may not, in connection with the Service:
You are solely responsible for the footage, references, prompts, and other content you upload or generate through the Service ("Your Content"). You may not upload or generate content that:
Cosmo uses third-party AI models (see our Privacy Policy) to interpret instructions, plan edits, and generate voice, subtitle, and visual output. You are responsible for reviewing AI-assisted output before publishing or distributing it, including for accuracy, rights clearance, and compliance with platform-specific policies (e.g. social media, broadcast).
You retain all ownership rights in Your Content. You grant HumanAI Technologies a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to operate, maintain, and provide the Service to you and your organization.
Your Content is private to you and your organization by default and is not made public or used to train third-party foundation models. We may access Your Content for troubleshooting, security investigations, and to provide support, subject to our Privacy Policy.
Your access to and use of any third-party content, services, or integrations made available through the Service is at your own risk. We do not control and are not responsible for third-party content, services, or the actions of third-party providers.
HumanAI Technologies owns and retains all right, title, and interest in and to the Service, including the Cosmo name, branding, and underlying software, exclusive of Your Content. Nothing in these Terms grants you any right to use our trademarks without our prior written consent.
If you believe content on the Service infringes your intellectual property rights, contact us at pratibimb@live.in with sufficient detail for us to investigate.
Where the Service is provided on a paid or subscription basis, fees, billing terms, and refund policy are set out in an order form, subscription page, or the Commercial Agreement entered into with your organization. In the absence of a separate written agreement, no fees apply and this Section does not create a payment obligation.
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above, and where appropriate, additional notice will be given. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if your organization's agreement with us ends. You or your organization's administrator may request account deletion at any time by contacting pratibimb@live.in.
Upon termination, your right to access the Service ceases. Provisions of these Terms that by their nature should survive termination - including ownership, disclaimers, indemnification, and limitations of liability - will survive.
Output generated or suggested by Cosmo's AI features - including edits, subtitles, voiceover, and summaries - may be erroneous or incomplete. We do not guarantee the accuracy, completeness, or fitness of AI-generated output for any particular purpose.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANAI TECHNOLOGIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
You agree to indemnify and hold HumanAI Technologies harmless from any claim, loss, or damage, including reasonable legal fees, arising from Your Content, your violation of these Terms, or your violation of any law or third-party right.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between you and HumanAI Technologies, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.
Either party may seek interim or injunctive relief from a court of competent jurisdiction in Singapore where necessary to protect its rights pending the outcome of arbitration.
Any feedback, suggestions, or ideas you provide about the Service may be used by us for any purpose without obligation or compensation to you.
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, subject to the arbitration agreement in Section 7.
These Terms, together with our Privacy Policy, any applicable Commercial Agreement, and Data Processing Agreement, constitute the entire agreement between you and HumanAI Technologies regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.
